Parties
This Agreement is entered into in good faith between TLAUNCH LLC, herein referred to as “teelaunch,” with its principal office located at 808 N Sioux Falls, SD 57104, and the undersigned, herein referred to as “Our Client,” with the address as provided by Our Client.
Modifications
teelaunch reserves the right to amend the terms and conditions of this Agreement at any time.
Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of South Dakota. The parties hereto agree that the exclusive venue for any proceedings arising from or related to this Agreement shall be in Minnehaha County, South Dakota.
Intellectual Property Rights in User-Submitted Designs
teelaunch acknowledges that it shall not acquire any ownership rights over any designs or intellectual property submitted by Our Client. Such designs shall be used solely to fulfill Our Client’s orders unless explicitly authorized otherwise in writing by Our Client. teelaunch commits to maintaining the confidentiality of all submitted designs and shall not disclose them to third parties without prior written consent from Our Client.
Shipping
Items are dispatched through UPS Mail Innovations domestically and Ascendia internationally, unless specified otherwise by Our Client.
Packaging
teelaunch shall provide all necessary packaging for items, the cost of which shall be included in the overall shipping cost.
Fees
Our Client shall be billed on a per item basis covering both the product and shipping costs. A detailed schedule of fees is available [insert link to fee schedule].
Billing and Payment
Our Client is required to provide a credit card to be kept on file. Charges will be applied to this card as orders are processed, up to four times per day. Orders will not be processed until payment has been received.
